PLEASE READ CAREFULLY - In these Official Rules you will waive and give up certain legal rights. These Official Rules contain a dispute resolution provision that requires arbitration on an individual basis to resolve disputes, rather than jury trials or class actions. If you do not agree to these Official Rules, DO NOT enter The Sherwin-Williams Company Colormix Event 2023/2024 Online Survey Sweepstakes.

1. SPONSOR:

The Sherwin-Williams Company Colormix Event 2023/2024 Online Survey Sweepstakes (the “Sweepstakes”) is sponsored by The Sherwin-Williams Company, 101 W. Prospect Avenue, Cleveland, Ohio 44115 (“Sponsor”).

2. ELIGIBILITY:

The Sweepstakes is open only to individuals that are (i) legal residents of the fifty (50) United States and the District of Columbia, or Canada excluding Quebec; (ii) eighteen (18) years of age or older, or the age of majority in their jurisdiction of residence, whichever is greater, at the time of entry; (iii) attendees of a Colormix event during the period from August 2023 through April 2024; and (iv) recipients of a thank you email from Sponsor requesting their completion of an online survey regarding the Colormix event. Employees of Sponsor and related companies, as well as their immediate family (spouse, parents, siblings, and children) and household members of each such employee are not eligible to enter or win. The Sweepstakes is subject to all federal, state, provincial, and local laws and regulations, and is void where prohibited by law.

3. AGREEMENT TO OFFICIAL RULES:

Participation in the Sweepstakes constitutes each Entrant's (each an "Entrant") full and unconditional agreement to and acceptance of these Official Rules and the decisions of Sponsor, which are final and binding. Winning a Prize is contingent upon fulfilling all requirements set forth in these Official Rules in a timely manner.

4. ENTRY PERIOD:

The Sweepstakes begins at 12:00:00 a.m. August 9, 2023, and ends at 11:59:59 p.m. April 30, 2024 (the “Entry Period”), and consists of two Periods (each a “Period”). Entries received outside of the Entry Period will be disqualified. Sponsor’s computer is the official time-keeping device for the Sweepstakes.

5. ENTRY

There is no cost to enter or win. During the Entry Period, you will receive a thank you email from Sponsor requesting your participation in an online survey about the Colormix event you attended. The email will contain a link directing you to the online survey site (the "Site"). Once on the Site, you must follow the instructions to complete the survey. After completing the survey, you will be asked if you would like to enter the Sweepstakes. By completing and submitting the Sweepstakes Entry form ("Entry") during the Entry Period, as directed by the online instructions, you will receive one (1) Entry into the Sweepstakes.

There is a limit of one (1) Entry per person during the Entry Period. The online survey and Sweepstakes Entry form must be completed in order to be eligible to enter and win. Any attempt by an Entrant to submit more than one (1) Entry by using multiple or different email addresses, identities, registrations, or logins, or any other entry method will void all Entries by that Entrant. Sponsor is not responsible for late, incomplete, inaccurate, misdirected, or undelivered entries. Proof of entering information at the Site is not considered proof of delivery to or receipt by Sponsor of such Entry.

6. Drawings & Odds:

A total of ten (10) potential Winners will be selected at random from all eligible entries received during the Entry Period. As indicated by the Drawing Entry Date chart ("Chart") found below, the potential Winners will be selected, per Period, as follows:

• Four (4) potential Winners will be selected at random from all eligible entries received during Period 1, on or about the Drawing Date ("Drawing Date") listed in the Chart; and
• Six (6) potential Winners will be selected at random from all eligible entries received during Period 2, on or about the Drawing Date listed in the Chart.

Odds of winning depend on the number of eligible entries received during each applicable Period. Non-winning entries will NOT be carried forward into the next Period.

7. Notification:

Sponsor will attempt to notify the potential Winners of the Sweepstakes by email within two (2) business days of the Drawing Date. If a potential Winner cannot be contacted within two (2) business days after the first attempt to make contact, the potential Winner will be deemed to be ineligible and disqualified, and an alternate potential Winner may be selected.

Each potential Winner from Canada will be required to correctly answer a mathematical skill testing question administered by phone, without assistance of any kind (whether mechanical or otherwise) within a 2-minute time limit in order to be eligible to win the Prize. If a potential Winner cannot be contacted and the skill testing question administered, the potential Winner will be deemed to be ineligible and disqualified, and an alternate potential Winner may be selected.

In such events, Sponsor may award the prize to an alternate Winner in a random drawing from among all remaining eligible entries received during the applicable Period. Only two (2) alternate Entrants will be contacted per Period.

8. PRIZES AND APPROXIMATE RETAIL VALUE ("ARV"):

Monetary values are expressed herein as U.S. dollars ("USD"). Each Winner will receive a One Hundred Dollars ($100) gift card (the "Prize") that will be issued in the form of a Reward Link that will allow the Winner to choose a gift card from several different popular retailers. A total of ten (10) Prizes will be awarded by Sponsor throughout the Sweepstakes. The total ARV of all Prizes awarded in the Sweepstakes is One Thousand Dollars ($1,000). The Prize is subject to any terms and conditions from the Rewards Link issuer and applicable retailer.

A Winner is responsible for paying any applicable income taxes. Any Prize details not specified above will be determined by Sponsor in its sole discretion. No substitution, transfer, or cash equivalent is permitted except by Sponsor, which reserves the right to substitute a Prize with one of comparable or greater value at its sole discretion. By accepting a prize, the Winner agrees to release and hold harmless the Released Parties from and against any claim or cause of action arising out of participation in the Sweepstakes or receipt or use of the Prize.

Prizes are limited to one (1) Prize per person throughout the Sweepstakes and drawings will be as follows:

9. Publicity:

Except where prohibited by law, participation in the Sweepstakes constitutes each Winner's consent to the Sponsor's use of Winner's name, likeness, voice, opinions, biographical information, and state of residence (collectively, the "Attributes") for promotional purposes in any media, now or hereafter devised, worldwide in perpetuity, without further consideration, notification, permission, or approval and, upon request, to the giving of consent, in writing, to such use.

10. PRIVACY/TERMS OF USE:

All information submitted to Sponsor as part of this Sweepstakes will be treated in accordance with Sponsor's Privacy Policy. By participating in the Sweepstakes, you also agree to be bound by Sponsor's Terms of Use, including its dispute resolution provision. In the event of a conflict, these Official Rules shall govern.

11. GENERAL CONDITIONS:

Sponsor reserves the right in its sole discretion to disqualify any individual it finds to be tampering with the Entry process or the operation of the Sweepstakes or to be acting in violation of these Official Rules or in an unsportsmanlike or disruptive manner. Any attempt by any person to undermine the legitimate operation of the sweepstakes may be a violation of criminal and civil law, and, should such an attempt be made, Sponsor reserves the right to seek damages or other remedies from any such person to the fullest extent permitted by law. In the event that the operation, security, or administration of the Sweepstakes is impaired in any way for any reason, Sponsor may, in its sole discretion, either (a) suspend the Sweepstakes to address the impairment and then resume the Sweepstakes in a manner that best conforms to the spirit of these Official Rules, or (b) cancel the Sweepstakes and award the prizes via random drawing from among the eligible entries received up to the time of the impairment. The failure of Sponsor to comply with any provision of these Official Rules due to an act of God, pandemic, hurricane, war, fire, riot, earthquake, terrorism, act of public enemies, actions of governmental authorities outside of the control of Sponsor, or other "force majeure" event will not be considered a breach of these Official Rules. Sponsor's failure to enforce any provision of these Official Rules shall not constitute a waiver of that provision. In the event of a dispute as to the identity of any Winner based on an email address, the winning Entry will be declared made by the authorized account holder of the email address submitted at the time of Entry. "Authorized account holder" is defined as the natural person that is assigned to an email address by an Internet access provider, on-line service provider, or other organization responsible for assigning email addresses for the domain associated with the submitted email address.

12. RELEASE AND LIMITATIONS OF LIABILITY:

By participating in the Sweepstakes, Entrants agree to release and hold harmless Sponsor, its officers, directors, shareholders, employees, and agents (the "Released Parties") from and against any loss, claim, cause of action, or liability arising out of participation in the Sweepstakes or receipt or use of any Prize, including, but not limited to: (a) unauthorized human intervention in the Sweepstakes; (b) technical errors related to computers, servers, providers, or telephone or network lines; (c) printing or human errors; (d) errors in the administration of the Sweepstakes or the processing of Entries; (e) any incorrect or inaccurate Entry information; (f) inability to access the Site; (g) transactions that are processed late or incorrectly or are incomplete or lost due to computer or electronic malfunction or traffic congestion on the Internet or at any website; or (h) injury or damage to persons or property which may be caused, directly or indirectly, in whole or in part, from Entrant's participation in the Sweepstakes, or receipt of any Prize, or Sponsor's use of submitted Entry materials and Attributes, including, without limitation, claims for invasion of privacy, right of publicity, defamation, libel, or further consideration. Entrant further agrees that in any cause of action, Sponsor's liability will be limited to the cost of Entering and participating in the Sweepstakes, and in no event shall Sponsor be liable for attorneys' fees. Entrant waives the right to claim any damages whatsoever, including, but not limited to, punitive, consequential, direct, or indirect damages.

13.DISPUTES: You and Sponsor agree to resolve disputes arising from/in connection with the Sweepstakes or any prize awarded through arbitration on an individual basis, rather than through jury trials or class actions as governed by and further explained in Sponsor's Terms of Use.

All issues and questions concerning the construction, validity, interpretation, and enforceability of these Official Rules, Entrant's rights and obligations, or the rights and obligations of Sponsor in connection with the Sweepstakes, shall be governed by, and construed in accordance with, the laws of the State of Ohio, without giving effect to any choice of law or conflict of law rules (whether of the State of Ohio or any other jurisdiction), which would cause the application of the laws of any jurisdiction other than the State of Ohio.

14. Severability:

If any provision of these Official Rules shall be held invalid, illegal, or unenforceable, such provision shall be enforced to the maximum extent permitted by law and the Sponsor's fundamental intentions hereunder, and the remaining provisions shall not be affected or impaired, provided, however, that in such cases the parties oblige themselves to use their best efforts to achieve the purpose of the invalid provision by a new legally valid stipulation.

15. Sweepstakes Results:

To receive a copy of these Official Rules or a list of the Winners' names, which will be available after May 10, 2024, please send a separate, self-addressed, stamped envelope to Colormix Event 2023/2024 Online Survey Sweepstakes, The Sherwin-Williams Company, 101 W. Prospect Avenue, 880 Midland, Cleveland, Ohio 44115, Attention: Carmen A. All requests must be received by June 1, 2024.
