1. Sponsor:

The Sherwin-Williams Company #EvergreenFogSweepstakes (the “Sweepstakes”) is sponsored by The Sherwin-Williams Company, 101 W. Prospect Avenue, Cleveland, Ohio 44115 (“Sponsor”).

2. Eligibility:

The Sweepstakes is open only to individuals that are: (i) legal residents of the fifty (50) United States and the District of Columbia, or Canada excluding Quebec; and (ii) eighteen (18) years of age or older, or the age of majority in their jurisdiction of residence, whichever is greater, at the time of Entry; and (iii) a recipient of The Sherwin-Williams Color of the Year 2022 Peel & Stick direct mailer. Employees of Sponsor and related companies, as well as the immediate family (spouse, parents, siblings, and children) and household members of each such employee are not eligible to enter or win. The Sweepstakes is subject to all federal, state, provincial, and local laws and regulations, and is void where prohibited by law.

3. Agreement to Official Rules:

Participation in the Sweepstakes constitutes each Entrant’s (each an “Entrant”) full and unconditional agreement to and acceptance of these Official Rules and the decisions of Sponsor, which are final and binding. Winning a prize is contingent upon fulfilling all requirements set forth in these Official Rules in a timely manner.

4. Entry Period:

The Sweepstakes begins at 12:00:00 a.m. December 25, 2021, and ends at 11:59:59 p.m. February 1, 2022 (the “Entry Period”). Entries received outside of the Entry Period will be disqualified. Sponsor’s computer is the official time-keeping device for the Sweepstakes.

5. Entry:

There is no cost to enter or win. Before or during the Entry Period, you will receive a direct mailer from Sponsor including an Evergreen Fog peel & stick sample. Enter the Sweepstakes by showing us where you will use our 2022 Color of the Year.

To Enter:

• Place the Evergreen Fog peel & stick sample on the wall or project you want to paint; and
• Snap a photo of the sample in your space and publicly share it on Instagram or Twitter; and
• Include the hashtag #EvergreenFogSweepstakes.

You will receive one (1) entry (“Entry”) into the Giveaway via this method. There is a limit of one (1) Entry per person.

Entries must be in keeping with Sponsor’s image and cannot be inappropriate or obscene or violate the privacy, publicity or intellectual property rights of any third party.

If you do not have a Instagram and/or Twitter account, establishing an account is free. All applicable platform terms apply. This Giveaway is not sponsored, endorsed or administered by Facebook, Instagram and/or Twitter. You can return your account(s) to private and/or unfollow any applicable social account following the announcement of the winners.

6. Drawing Odds:

On or about Monday, February 4, 2022, Sponsor will select four (4) winners (each a “Winner”) in a random drawing of all eligible entries received. The odds of being selected depend on the number of eligible entries received.

7. Notification:

The Sponsor will notify the potential Winners via social comment on Entry post or by a direct message from Sponsor (each such communication, a “Notice”). Potential Winners must respond to the Notice within 48 hours. Within forty-eight (48) hours after that, Sponsor will provide you with directions as to how to complete the Prize claim process. If a potential Winner cannot be contacted within two (2) business days after the first attempt to make contact, an alternate potential Winner may be selected from all remaining eligible entries.

Any potential Winner from Canada will be required to correctly answer a mathematical skill testing question administered by phone, without assistance of any kind (whether mechanical or otherwise) within a 2-minute time limit in order to be eligible to win the prize. If a potential Winner cannot be contacted and the skill testing question administered, the prize will be forfeited and an alternate potential Winner will be selected.

In such events, Sponsor may award the prize to an alternate Winner in a random drawing from among all remaining eligible entries received during the applicable time period. Only three (3) alternate winners will be selected.

8. Prizes and Approximate Retail Value ("ARV"):

Monetary values are expressed herein as U.S. dollars (“USD”). Each Winner will receive a Two Hundred Fifty Dollar ($250) Sherwin-Williams gift card (the “Prize”). A total of four(4) prizes will be awarded by Sponsor with the total ARV of One Thousand Dollars ($1,000).

A prize Winner is responsible for paying any applicable income taxes. Any prize details not specified above will be determined by Sponsor in its sole discretion. No substitution, transfer, or cash equivalent is permitted except by Sponsor, which reserves the right to substitute a prize with one of comparable or greater value at its sole discretion.

Prizes are limited to one (1) prize per person.

9. Publicity:

Except where prohibited by law, participation in the Sweepstakes constitutes each Winner’s consent to the Sponsor’s use of Winner’s name, likeness, voice, opinions, biographical information, and state of residence (collectively, the “Attributes”) for promotional purposes in any media in perpetuity without further payment, consideration, permission, or approval and, upon request, to the giving of consent, in writing, to such use.

10. Privacy:

All information submitted to Sponsor as part of this Sweepstakes will be treated in accordance with Sponsor’s Privacy Policy.

11. General Conditions:

Sponsor reserves the right in its sole discretion to disqualify any individual it finds to be tampering with the entry process or the operation of the Sweepstakes or to be acting in violation of these Official Rules or in an unsportsmanlike or disruptive manner. Any attempt by any person to undermine the legitimate operation of the Sweepstakes may be a violation of criminal and civil law, and, should such an attempt be made, SPONSOR RESERVES the right to seek damages or other remedies from any such person to the fullest extent permitted by law. In the event that the operation, security, or administration of the Sweepstakes is impaired in any way for any reason, Sponsor may, in its sole discretion, either (a) suspend the Sweepstakes to address the impairment and then resume the Sweepstakes in a manner that best conforms to the spirit of these Official Rules, or (b) cancel the Sweepstakes and award the prizes via random drawing from among the eligible entries received up to the time of the impairment. The failure of Sponsor to comply with any provision of these Official Rules due to an act of God, hurricane, war, fire, riot, earthquake, terrorism, act of public enemies, actions of governmental authorities outside of the control of Sponsor, or other “force majeure” event will not be considered a breach of these Official Rules. Sponsor’s failure to enforce any provision of these Official Rules shall not constitute a waiver of that provision. In the event of a dispute as to the identity of any Winner based on an e-mail address, the winning Entry will be declared made by the authorized account holder of the e-mail address submitted at the time of Entry. “Authorized account holder” is defined as the natural person that is assigned to an e-mail address by an Internet access provider, on-line service provider, or other organization responsible for assigning e-mail addresses for the domain associated with the submitted e-mail address.

12. Release and Limitations of Liability:

By participating in the Sweepstakes, Entrants agree to release and hold harmless Sponsor, its officers, directors, employees, and agents (the “Released Parties”) from and against any loss, claim, cause of action, or liability arising out of participation in the Sweepstakes or receipt or use of any prize, including, but not limited to: (a) unauthorized human intervention in the Sweepstakes; (b) technical errors related to computers, servers, providers, or telephone or network lines; (c) printing or human errors; (d) errors in the administration of the Sweepstakes or the processing of entries; (e) any incorrect or inaccurate Entry information; (f) inability to access the Site; (g) transactions that are processed late or incorrectly or are incomplete or lost due to computer or electronic malfunction or traffic congestion on the Internet or at any website; or (h) injury or damage to persons or property which may be caused, directly or indirectly, in whole or in part, from Entrant’s participation in the Sweepstakes, or receipt of any prize, or Sponsor’s use of submitted Entry materials and Attributes, including, without limitation, claims for invasion of privacy, right of publicity, defamation, libel, or further consideration. Entrant further agrees that in any cause of action, Sponsor’s liability will be limited to the cost of entering and participating in the Sweepstakes, and in no event shall Sponsor be liable for attorneys’ fees. Entrant waives the right to claim any damages whatsoever, including, but not limited to, punitive, consequential, direct, or indirect damages.

13. Disputes:

Except where prohibited by law, each Entrant agrees that any and all disputes, claims, and causes of action arising out of, or connected with, the Sweepstakes or any prize awarded shall be resolved individually, without resort to any form of class action, and exclusively by the appropriate court located in the State of Ohio. All issues and questions concerning the construction, validity, interpretation, and enforceability of these Official Rules, Entrant’s rights and obligations, or the rights and obligations of Sponsor in connection with the Sweepstakes, shall be governed by, and construed in accordance with, the laws of the State of Ohio, without giving effect to any choice of law or conflict of law rules (whether of the State of Ohio or any other jurisdiction), which would cause the application of the laws of any jurisdiction other than the State of Ohio.

14. Sweepstakes Results:

To receive a list of the Winners’ names, which will be available after February 5, 2022, please send a self-addressed, stamped envelope to #EvergreenFogSweepstakes, The Sherwin-Williams Company, 101 W.
